Welcome to ProcedureWorks® (the “Service”), operated by Executive Advisors Group, LLC, headquartered in San Diego County, CA. By accessing or using our Service, you agree to these Terms of Service (“Terms”). If you do not agree, please do not use our Service.

Our Service is currently offered as a minimum viable product (MVP). It may contain defects, experience downtime, or lack certain features. We make no guarantees that the Service will be uninterrupted, secure, or error-free. We reserve the right to modify or discontinue the Service at any time, with or without prior notice.

No Guarantee of Security
While we take reasonable measures to protect your data, we cannot guarantee that the Service is entirely secure. Users of the Service should separately back up data that is uploaded to the Service. You acknowledge that you use the Service at your own risk and should not store highly sensitive or regulated data unless explicitly agreed in writing. Account security is the user’s responsibility. Please notify us immediately of unauthorized access.

All intellectual property rights in the Service remain with us or our licensors. Any data that you upload to the Service remains your property.

To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, or consequential damages.
- Our total liability for any claim related to the Service will not exceed the amount you paid us in the three (3) months preceding the claim (or $0 if you have not paid).

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Dispute Resolution
Any disputes will be resolved through binding arbitration in accordance with the laws of the State of California. The exclusive jurisdiction for disputes is San Diego, CA.
